Terms and Conditions

1. Service Overview

1.1 General. Zetric is a comprehensive profit analytics platform designed specifically for e-commerce businesses. Our Service provides real-time visibility into true net profit by automatically tracking and calculating all costs associated with running an online store, including revenue, cost of goods sold (COGS), advertising spend, and other operational expenses.

1.2 Platform Integrations. Zetric integrates with various third-party platforms to collect and analyze your business data, including:

E-commerce platforms: Shopify, Wix, BigCommerce, Amazon
Advertising platforms: Meta Ads (Facebook/Instagram), Google Ads, TikTok Ads, Pinterest Ads, Snapchat Ads, and other ad networks
Marketing platforms: Klaviyo, Omnisend, Mailchimp, and similar email marketing services

By using these integrations, you authorize Zetric to access, retrieve, and process data from these platforms on your behalf.

2. Eligibility

2.1 Age Requirement. You must be at least 18 years old to use the Service. By accepting these Terms, you represent and warrant that:

You are at least 18 years of age
You have not been previously suspended or banned from the Service
Your use of the Service complies with all applicable laws and regulations

2.2 Business Users. If you are using the Service on behalf of a business, organization, or other entity, you represent and warrant that you have the authority to bind that entity to these Terms, and references to "you" in these Terms will refer to both you individually and the entity you represent.

3. Account Registration and Security

3.1 Account Creation. To access the Service, you must create an account by providing accurate and complete information, including your name, email address, business details, and payment information. You may also use Sign-in with Google (Google OAuth) for account authentication.

3.2 Account Security. You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Use a strong and secure password
Not share your account credentials with anyone
Immediately notify us at support@zetric.co if you suspect unauthorized access to your account

3.3 Accurate Information. You agree to provide accurate, current, and complete information during registration and to update such information as necessary to maintain its accuracy.

4. Subscription Plans and Payments

4.1 Paid Subscriptions. Certain features of the Service require a paid subscription ("Paid Subscription"). By purchasing a Paid Subscription, you agree to pay the applicable subscription fees.

4.2 Auto-Renewal. Paid Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee and any applicable taxes.

4.3 Pricing and Changes. All prices are in U.S. Dollars unless otherwise stated. We reserve the right to change subscription fees at any time. If we increase your subscription price, we will notify you in advance and provide you with an opportunity to cancel before the new price takes effect.

4.4 Free Trials. We may offer free trials for certain Paid Subscriptions. You will not be charged during the trial period. To access a trial, you must provide valid payment information. At the end of the trial period, your subscription will automatically convert to a Paid Subscription unless you cancel before the trial ends.

4.5 Payment Authorization. By providing payment information, you authorize us to:

Store your payment information securely
Charge your payment method for all fees incurred
Update your payment information automatically if provided by your payment processor (e.g., new expiration date)

4.6 Failed Payments. If a payment fails or is declined, we may suspend or terminate your access to the Service without notice. We reserve the right to pursue collection of unpaid amounts, including reasonable attorneys' fees and collection costs.

4.7 Cancellation and Refunds. To cancel your Paid Subscription, you must do so through your account settings or by contacting support@zetric.co. Cancellations take effect at the end of your current billing cycle. All subscription fees are non-refundable. You will retain access to the Service until the end of your paid period.

4.8 Taxes. All fees are exclusive of applicable taxes. You are responsible for paying all taxes associated with your use of the Service. If we are required to collect or pay taxes on your behalf, such amounts will be added to your invoice.

5. License and Restrictions

5.1 Limited License. Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Service solely for your internal business purposes.

5.2 Restrictions. You may not:

Copy, modify, distribute, sell, or lease any part of the Service
Reverse engineer, decompile, or attempt to extract the source code of the Service
Use the Service for any unlawful purpose or in violation of these Terms
Use automated tools (bots, scrapers, crawlers) to access the Service without our written permission
Remove, alter, or obscure any proprietary notices on the Service
Attempt to bypass any security measures or access restrictions
Use the Service to create a competing product or service

5.3 Ownership. Zetric and its licensors own all rights, title, and interest in and to the Service, including all intellectual property rights. These Terms do not grant you any ownership rights in the Service.

6. User Data and Content

6.1 User Data. "User Data" refers to all data you upload, input, or transmit through the Service, including data retrieved from integrated platforms such as Shopify, Meta Ads, Google Ads, and email marketing platforms.

6.2 License to Zetric. By using the Service, you grant Zetric a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Data solely to provide and improve the Service. We will not sell or share your User Data with third parties for their marketing purposes.

6.3 Data Accuracy. You represent and warrant that:

You own or have the necessary rights to all User Data you provide
Your User Data does not violate any third-party rights or applicable laws
Your User Data is accurate and not misleading

6.4 Data Backup. You are solely responsible for maintaining backups of your User Data. We are not responsible for any loss or corruption of User Data.

7. Third-Party Integrations

7.1 Third-Party Platforms. The Service integrates with third-party platforms (e.g., Shopify, Meta Ads, Google Ads) to retrieve and analyze your data. By using these integrations, you authorize Zetric to access your accounts on these platforms on your behalf.

7.2 Third-Party Terms. Your use of third-party platforms is subject to their respective terms of service and privacy policies. We are not responsible for the actions, policies, or content of third-party platforms.

7.3 No Liability. We are not responsible for any issues, errors, or disruptions caused by third-party platforms. We may disable access to third-party integrations at any time without notice.

7.4 Revenue Sharing. In some cases, we may receive referral fees or revenue sharing from third-party platforms we recommend or integrate with.

8. Prohibited Conduct

You agree not to:

Use the Service for any illegal purpose or in violation of any laws
Violate or infringe the intellectual property rights of Zetric or any third party
Upload or transmit viruses, malware, or other harmful code
Interfere with or disrupt the Service, servers, or networks connected to the Service
Attempt to gain unauthorized access to any part of the Service or other users' accounts
Impersonate any person or entity or falsely represent your affiliation with any person or entity
Use the Service to send spam, unsolicited advertising, or promotional materials
Engage in any fraudulent, deceptive, or misleading activities
Scrape, harvest, or collect data from the Service without our written permission
Use the Service in any manner that could damage, disable, or impair the Service

9. Intellectual Property Protection

9.1 Respect for Rights. Zetric respects the intellectual property rights of others and expects users to do the same.

9.2 DMCA Notice. If you believe that any content on the Service infringes your copyright, please send a written notice to support@zetric.co with the following information:

Your electronic or physical signature
Identification of the copyrighted work claimed to have been infringed
Identification of the material that is claimed to be infringing and its location on the Service
Your contact information (address, telephone number, email address)
A statement that you have a good faith belief that the use is not authorized by the copyright owner
A statement, under penalty of perjury, that the information in your notice is accurate and that you are authorized to act on behalf of the copyright owner

9.3 Repeat Infringers. We will terminate the accounts of users who are determined to be repeat infringers.

10. Feedback

If you provide us with any feedback, suggestions, or ideas regarding the Service ("Feedback"), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate such Feedback into the Service without any obligation to compensate you.

11. Communications

11.1 Service Communications. By using the Service, you consent to receive emails, push notifications, and other communications from us regarding your account, service updates, and technical notices.

11.2 Marketing Communications. With your consent, we may send you promotional emails and marketing materials. You may opt out of marketing emails by following the unsubscribe instructions in the email or by contacting support@zetric.co.

11.3 Text Messages. If you provide your phone number, you agree to receive text messages from us for account verification and security purposes. Standard message and data rates may apply. To opt out, reply "STOP" to any text message or contact support@zetric.co.

12. Term and Termination

12.1 Term. These Terms begin when you first access the Service and continue until terminated as described below.

12.2 Termination by You. You may terminate your account at any time by contacting support@zetric.co or through your account settings.

12.3 Termination by Zetric. We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, if:

You violate these Terms
Your account is inactive for an extended period
We discontinue the Service or any part of it
Required by law or a government authority

12.4 Effect of Termination. Upon termination:

Your license to use the Service immediately ends
You must cease all use of the Service
We may delete your User Data and account information (subject to our data retention obligations under applicable law)
You remain responsible for all fees incurred prior to termination
Sections 5.3, 6.2, 10, 13, 14, 15, 16, and 17 will survive termination

12.5 Data Retrieval. You are responsible for exporting your data before termination. After termination, we may permanently delete your data in accordance with our data retention policies.

13. Modifications to the Service

We reserve the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

14. Disclaimers and No Warranties

14.1 "AS IS" Basis. THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, OR ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

14.2 No Guarantee. WE DO NOT WARRANT THAT:

The Service will be uninterrupted, timely, secure, or error-free
The results obtained from the use of the Service will be accurate or reliable
The quality of any products, services, information, or other material obtained through the Service will meet your expectations
Any errors in the Service will be corrected

14.3 Use at Your Own Risk. YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICE IS AT YOUR SOLE RISK. WE ARE NOT RESPONSIBLE FOR ANY DAMAGE TO YOUR COMPUTER, MOBILE DEVICE, OR OTHER PROPERTY, OR FOR ANY LOSS OF DATA RESULTING FROM YOUR USE OF THE SERVICE.

14.4 Third-Party Data. We rely on data from third-party platforms. We do not guarantee the accuracy, completeness, or timeliness of such data. You are responsible for verifying all data and analytics provided by the Service.

15. Limitation of Liability

15.1 Exclusion of Damages. TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL ZETRIC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF DATA, LOSS OF GOODWILL, SERVICE INTERRUPTION, COMPUTER DAMAGE, OR SYSTEM FAILURE, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OR INABILITY TO USE THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.2 Cap on Liability. EXCEPT AS PROVIDED IN SECTION 16 (ARBITRATION), OUR TOTAL LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU PAID TO ZETRIC IN THE 12 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $100 USD.

15.3 Essential Basis. YOU ACKNOWLEDGE THAT THE LIMITATIONS OF LIABILITY IN THIS SECTION 15 ARE ESSENTIAL ELEMENTS OF THE AGREEMENT BETWEEN YOU AND ZETRIC, AND THAT ZETRIC WOULD NOT PROVIDE THE SERVICE TO YOU WITHOUT THESE LIMITATIONS.

16. Arbitration Agreement; Class Action Waiver; Jury Trial Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

16.1 Agreement to Arbitrate. You and Zetric agree that any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Service (collectively, "Disputes") will be resolved by binding arbitration, except as stated in Section 16.4 below. This includes Disputes that arose before you accepted these Terms.

16.2 Informal Dispute Resolution. Before initiating arbitration, you agree to first contact us at support@zetric.co to attempt to resolve the Dispute informally. We will attempt to resolve your concerns within 60 days. Participation in this informal process is a precondition to initiating arbitration.

16.3 Binding Arbitration. If the Dispute cannot be resolved informally, it shall be resolved exclusively by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules (or Consumer Arbitration Rules if you are an individual consumer). The arbitration will be conducted by a single arbitrator unless Zetric elects to have a three-member panel. You can obtain AAA rules and fee information at www.adr.org or by calling 1-800-778-7879.

The arbitration will take place in the United States in the state where you reside or another mutually agreed location. The arbitrator's decision will be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

16.4 Exceptions. This arbitration agreement does not apply to:

Individual actions in small claims court (if the claim qualifies and remains in small claims court)
Claims seeking injunctive or equitable relief related to intellectual property rights or confidential information
Claims that cannot be arbitrated by law

16.5 CLASS ACTION WAIVER. YOU AND ZETRIC AGREE THAT ANY DISPUTE SHALL BE CONDUCTED ON AN INDIVIDUAL BASIS AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. Neither you nor Zetric may act as a class representative or private attorney general, nor participate as a member of a class of claimants, with respect to any Dispute.

16.6 JURY TRIAL WAIVER. YOU AND ZETRIC WAIVE ANY RIGHT TO A JURY TRIAL IN CONNECTION WITH ANY DISPUTE.

16.7 Opt-Out Right. You may opt out of this arbitration agreement by sending written notice to support@zetric.co within 30 days of first accepting these Terms. Your opt-out notice must include your name, email address, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, all other terms of this agreement will still apply.

16.8 Changes to Arbitration Terms. If we make changes to this Section 16, you may reject the changes by sending us written notice within 30 days of the change. If you reject the changes, your account will be governed by the arbitration terms that were in place when you first accepted these Terms.

17. Miscellaneous

17.1 Governing Law. These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law principles. Any legal action that is not subject to arbitration must be brought exclusively in the state or federal courts located in Delaware.

17.2 Entire Agreement. These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and Zetric regarding the Service and supersede all prior agreements and understandings.

17.3 Amendments. We may modify these Terms at any time by posting the updated Terms on our website. Material changes will take effect 30 days after posting or notice to you. Your continued use of the Service after changes take effect constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

17.4 Waiver. Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it later.

17.5 Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it valid and enforceable.

17.6 Assignment. You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms to any affiliate or in connection with a merger, acquisition, or sale of assets without restriction.

17.7 No Third-Party Beneficiaries. These Terms do not confer any rights or remedies upon any person other than you and Zetric.

17.8 Force Majeure. We will not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including acts of God, war, terrorism, pandemics, labor disputes, or internet or telecommunications failures.

17.9 Statute of Limitations. Any claim arising out of or related to these Terms or the Service must be filed within one (1) year after the claim arises, or the applicable statute of limitations, whichever is shorter. Otherwise, the claim is permanently barred.

17.10 Survival. All provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnification, limitations of liability, and dispute resolution provisions.

17.11 Electronic Communications. By using the Service, you consent to receive electronic communications from us. You agree that all notices, agreements, disclosures, and other communications we provide to you electronically satisfy any legal requirement that such communications be in writing.

18. Indemnification

You agree to indemnify, defend, and hold harmless Zetric, its officers, directors, employees, agents, affiliates, and licensors from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any rights of a third party, including intellectual property rights
Any User Data you provide or actions you take through the Service
Your breach of any representations or warranties made in these Terms

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, and you agree to cooperate with our defense of such claims.

20. Additional Terms for Platform-Specific Users

20.1 Shopify Users. If you have installed Zetric through the Shopify App Store, please note that:

Zetric is solely responsible for the application and its functionality
Shopify is not liable for any issues, faults, or harm resulting from the use of Zetric
Shopify does not provide support for Zetric; all support requests should be directed to support@zetric.co
Zetric is solely responsible for any claims arising from your use of the application

20.2 Other App Stores. Similar terms apply if you have installed Zetric through other app stores or marketplaces. The app store provider is not responsible for the Zetric application or any issues arising from its use.

BY USING ZETRIC, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS.
